Tender offer price and Cancellation of Treasury Shares

Further to the announcement made by Cazenove Absolute Equity Limited (the "Company") on 30 September 2011 regarding the passing of the resolutions at the Extraordinary General Meeting to give effect to the Tender Offer for Shares in the Company, the Board today announces that the Repurchase Price, which has been calculated in accordance with paragraph 3 of Part III of the circular to Shareholders dated 5 September 2011 (the "Circular"), is 124.7750 pence per Share.

A total of 12,951,004 shares were validly tendered under the Tender Offer. As a result, the Basic Entitlement of all Shareholders who have validly tendered their shares will be accepted in full and excess tenders will be satisfied to the extent of approximately 4.92 per cent. of the excess shares tendered.

12,951,004 shares will be repurchased by the Company under the Tender Offer and cancelled; this represents approximately one quarter of the Issued Share Capital of the Company as at the Record Date.

It is expected that CREST accounts will be credited and cheques despatched in respect of the proceeds of successfully tendered shares in the week commencing 17 October 2011. It is expected that CREST accounts will be credited and balancing certificates issued in respect of unpurchased Eligible Shares in the week commencing 17 October 2011.

The Board has also resolved to cancel 1,450,000 shares held in treasury therefore following the implementation of the Tender Offer and the cancellation, the Company will have 43,137,829 Shares in issue of which 4,284,804 are held in treasury.
