Option Exercise & Change of Registered Office

Concha, the AIM quoted investment company focused on investing in media, communications and technology companies, announces the following events:

Option Exercise

As announced on 30 December 2013, the Company raised gross proceeds of approximately GBP0.1 million through a placing of 50,000,000 new ordinary shares of 0.1p each in the Company ("Ordinary Shares") with new investors at a placing price of 0.20p per Ordinary Share (the "Placing").

As part of the Placing, the Company also entered into a put and call option (the "Option") over a further 50,000,000 new Ordinary Shares at a subscription price of 0.20p per Ordinary Share, exercisable in full on or before 14 February 2014 at the election of either the Company or the Option holder. The call option (the "Call Option") would be exercisable during the period from 28 December 2013 up to 7 February 2014. If the Call Option was not exercised, the Company could exercise the put option (the "Put Option") during the period from 8 to 14 February 2014.

The Company is pleased to announce that it has received notification that it has exercised its right to subscribe for the entire 50,000,000 new Ordinary Shares at a subscription price of 0.20p per Ordinary Share under the Call Option (the "Call Option Shares"). The proceeds from the exercise will be used to fund the Company's working capital requirements. As per the terms of the Option, the Option holders will also be issued 50,000,000 warrants over the Company's share capital, with an exercise price of 0.25p and an exercise period expiring on 14 February 2017 (the "Call Option Warrants").

Application has been made for the admission of the Call Option Shares to trading on AIM with effect from 14 February 2014 ("Admission"). Following Admission, the number of Ordinary Shares in issue will be 877,756,979. This figure may be used by shareholders as the denominator in the calculation by which they determine if they are required to notify the Company of their interest (or any change to their interest) in the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.

The total number of warrants in issue following the issue of the Call Option Warrants will be 340,325,634.

Change of Registered Office

The Company also announces that its registered office address has changed to 18 Buckingham Gate, London, SW1E 6LB with immediate effect.
