Charlton Athletic plc ("Charlton")

Result of EGM and Placing and Open Offer of up to 10,664,280 New Ordinary Shares
of 50p each at 55p per share

At the EGM held on 17 July 2000 at Charlton, all resolutions, including
resolutions relating to the Placing and Open Offer were duly passed by
shareholders.

Applications under the Open Offer closed at 3.00pm on Friday 14 July 2000 and
existing shareholders took up their entitlements under the Open Offer to
6,525,505 New Ordinary Shares.  This includes 5,003,996 New Ordinary Shares
which certain Directors and other shareholders irrevocably undertook to
subscribe for under the Open Offer.

Certain other Directors and shareholders irrevocably undertook not to subscribe
for their entitlements under the Open Offer, amounting to 2,377,064 New Ordinary
Shares and these shares were placed firm with other investors by Teather &
Greenwood Limited.  Accordingly the take-up under the Open Offer represented
78.7 per cent of those New Ordinary Shares available that were not the subject
of the Firm Placing.

Of the remaining 1,761,711 New Ordinary Shares, 788,273 New Ordinary Shares have
been taken up by conditional placees and the balance of the New Ordinary Shares
have not been issued and allotted.  Accordingly, the gross proceeds of the
Placing and Open Offer were #5.33 million.  Dealings in the New ordinary Shares
are expected to commence on Wednesday 19 July 2000.

On completion of the Placing and Open Offer the Director's shareholdings are as
