    The Company was notified on 25 October 2006 pursuant to Section 198 of the
Companies Act 1985 that following a transfer from Core Capital LLP's own name
into Giltspur Nominees on 19 October 2006 totalling 12,369,285 B Shares, Core
Capital LLP the Company's Investment Manager, had an interest in 12,369,285 B
Shares in Core VCT II plc, representing 50% of the issued B Share capital of
the Company.
