Tender offer and discount control mechanism 
 
Ceres Agriculture Fund Limited ("Ceres" or the "Company") the Guernsey 
domiciled, closed-ended investment company, managed by FourWinds Capital 
Management established to invest in an actively  managed portfolio of  primarily 
exchange-traded  agricultural commodity  contracts and derivatives and  other 
agricultural commodity  related investments, today announces that, as part of 
their discount management policy, the Directors have decided to make a tender 
offer for 24.99 per cent of the Ordinary Shares of the Company currently in 
issue. The record date for the tender offer is to be the close of business on 29 
March 2010. The tender price will be equal to 95.5 per cent of the latest 
published estimated unaudited net asset value per Ordinary Share as at the close 
of business on the closing date of the tender, which is expected to be 30 April 
2010. It is expected that a tender offer circular and a tender offer form will 
be sent to shareholders on or around 9 April 2010. 
The Directors do not intend to tender their shares.
