Ceres Agriculture Fund Limited (the "Company") 
 
RESULT OF AGM 
 
The Board of Directors of the Company wish to announce that at its Annual 
General Meeting, which took place on 15 June 2010, all the resolutions were 
passed with the exception of Resolutions 2 and 5, these being; 
 
Resolution 2: the appointment of Ernst & Young LLP of 14 New Street, St Peter 
Port, Guernsey, GY 1 4NF as auditors of the Company for the year ending 31 
December 2010, 
 
Resolution 5: the re-election of Ms Tara as a Director. 
 
The Directors of the Company are currently considering all options for the 
appointment of new auditors in light of the proposed voluntary winding up of the 
Company, as announced by the Company on 10 May 2010 and on 10 June 2010. 
 
It is not intended that the Company appoint a replacement Director for Ms Tara
