                                 Trading Update

Celoxica Holdings plc (AIM: CXA) - 31 October, 2006 - a provider of electronic
system level (ESL) design technology for the embedded systems and accelerated
computing markets, today provides an update on current trading.

During the year and across both of its markets the Company has continued to win
new customers for its ESL technology. However, the Company's Embedded Systems
market is growing more slowly than expected. As a result the Board anticipates
that revenues for the second half of this year will be in line with the same
period for 2005 and the full year results will therefore be materially lower
than market expectations.

In light of the above, the Board has commenced a review of the Company's
strategic options in order to maximise shareholder value.

Jack Fryer, Chairman commented, "The Embedded Systems market is growing more
slowly than anticipated by ourselves or the industry analysts. By contrast we
continue to see good, medium term growth potential in the Accelerated Computing
market where our solutions are now gaining market awareness and believe that
Accelerated Computing will provide a solid platform for growth and the further
development of Celoxica."
