In  conformity with the Disclosure  and Transparency Rule 5.6.1, Downing Planned 
Exit VCT 2011 plc announces the following: 
 
The Company's capital at 31 May 2012 consists of: 
 
15,690,016 General Ordinary Shares of 0.1p each 
 
18,476,489 General A Shares of 0.1p each 
 
10,714,500 Structured Ordinary Shares of 0.1p each 
 
12,605,294 Structured A Shares of 0.1p each 
 
8,109,363 Low Carbon Ordinary Shares of 0.1p each 
 
 
 
The Company does not hold any shares in treasury. 
 
 
 
Each  of  the  Ordinary  Shares  has  935 votes  and  each A Share has 65 votes. 
Therefore,  the total number of voting rights  in Downing Planned Exit VCT 2011 
plc is 34,290,792,760. 
 
The  above takes account of  any shares that have  been recently bought back for 
cancellation, even if such transactions have not yet settled. 
 
 
 
The  above  figure  may  be  used  by  shareholders  as  the denominator for the 
calculations  by which they will determine if  they are required to notify their 
interest in, or a change to their interest in, Downing Planned Exit VCT 2011 plc
