Concert Party Status

In the light of the recent death of Richard Thornton the Directors of The Establishment Investment Trust plc recently instructed Stephenson Harwood, the company's legal advisors, to consult with the Takeover Panel with regard to the status of the Concert Party described in the March 2002 prospectus of the Establishment Investment Trust plc.

The Takeover Panel has advised that they are of the opinion that there is sufficient connection between the shareholders, or persons entitled to the shares, comprising the Concert Party for the concert party status to remain unaffected. The Concert Party owns, or controls, a total of 9,182,587 shares representing 45.9% of the shares outstanding.

The Directors have also held informal discussions with the executors of Richard Thornton's estate and are of the opinion that his death is unlikely to result in the disposal of shares into the open market.
