In accordance with the Financial Conduct Authority's Disclosure and Transparency Rules, F&C Asset Management plc ("the Company") advises that, as at 30(th) April 2014, its capital consisted of 588,785,844 shares.

The total number of voting rights in the Company's ordinary shares is 588,785,844 which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
