Fairplace was notified on 11 August 2005 that on 10 August 2005 Mr. Neil Lewis
and Mr. Jim Horsted sold an aggregate of 195,944 ordinary shares in the Company,
further details of which are set out below:

Separately, the Company received notification on 11 August 2005 that Quantum
Consulting Group plc ("QCG") now holds 195,944 ordinary shares, representing
3.56% of the ordinary issued share capital of the Company.

Jim Horsted and Neil Lewis were formerly directors of Fairplace. On 1 July the
Company sold its distance-based division to Working Transitions 2005 Limited, a
company of which Jim Horsted and Neil Lewis are directors and shareholders.

Fairplace has enjoyed a close working relationship with QCG, which is a supplier
to the Company, for a number of years. The Company is delighted to see this
investment and views it as an encouraging sign, reflecting the Company's
optimism for the future.
