    Proposed placing of 3,750,000 New Ordinary Shares               

                   Result of EGM and expected Admission Date                   

The Board of Fairplace Consulting plc (the "Company") is pleased to announce
that the resolutions proposed at the Extraordinary General Meeting held earlier
today to approve the placing of 3,750,000 New Ordinary Shares in the Company to
raise �450,000 in cash before expenses and related matters, as set out in the
notice of Extraordinary General Meeting dated 20 February 2006, were duly
approved by Shareholders.

Application has been made for the New Ordinary Shares to be admitted to AIM.
Admission is expected to become effective at 8am on Friday 17 March 2006.
