Completion of Share Merger

This announcement is made by Foresight 2 VCT plc ("the Company") in connection 
with the merger of the C ordinary shares of 1p each in the capital of the 
Company ("C Shares") and ordinary shares of 1p each in the capital of the 
Company ("Ordinary Shares") into one class of share ("Share Merger"), details of 
which were contained in the Company's circular to shareholders ("the Circular") 
dated 25 January 2013. 
 
Following approval of the requisite resolutions at the general meeting and 
separate class meetings of the Company held on 19 February 2013 and 20 February 
2013 respectively, the Board of the Company is pleased to advise that the Share 
Merger has today been implemented, in accordance with the terms set out in the 
Circular, as follows: 
 
 ·         24,816,760 C Shares have been redesignated as 24,656,678 Ordinary 
Shares (based on a conversion ratio of 0.99357629785 per holding of C Shares and 
rounded down to the nearest whole share); and 
 
 ·         the balance of C Shares held by a C Shareholder which were not 
redesignated as Ordinary Shares were redesignated as deferred shares of 1p each, 
all of which have been bought back by the Company for an aggregate price of 1p. 
 
As a result of the above, the issued share capital of the Company is as follows:

Application will shortly be made to the UKLA and the London Stock Exchange for 
amendments to the listing of the Ordinary Shares and C Shares. 
 
Shareholders who hold their existing C Shares in certificated form will receive 
replacement certificates in respect of the Ordinary Shares arising from the 
Share Merger and existing share certificates in respect of C Shares will no 
longer be valid. Shareholders who hold their C Shares in CREST will have their 
CREST accounts updated.
