The Board of the Gresham Hotel Group notes the requisition of an extraordinary
general meeting of the company by its 28.25% shareholder, Red Sea Hotel Group. A
notice convening an extraordinary general meeting will be sent to shareholders
in due course.

The Board welcomes that Red Sea Hotel Group has finally made its intentions
clear, to the shareholders, employees and the wider market.

Based on the resolutions they are putting to the extraordinary general meeting,
the Board remains of the opinion that the Red Sea Hotel Group is endeavouring to
seize control of the company without making an offer to all shareholders. The
Board reiterate their belief that if Red Sea Hotel Group want to take control of
the group, they should pay a fair price to all shareholders both large and
small.
