       Statement re Termination of Discussions Regarding a Possible Offer

29th July 2002:

Gresham announced on 24th June 2002, that it had received an approach from a
third party and that discussions that may or may not lead to an offer were at a
preliminary stage.

Gresham announces that these discussions have now terminated and have not
resulted in an offer for the Company.

The Board of Gresham will continue to pursue all opportunities to maximise
shareholder value.

The Directors of Gresham accept responsibility for the information contained in
