Following the poll at the Extraordinary General Meeting of Gresham Hotel Group
plc ("Gresham" or "the Company") held on 8 August 2002, Mr. Tom Byrne, Mr.
Harvey Soning and Mr. Amos Pickel were appointed as directors of the Company
with immediate effect.

Mr. Byrne is a corporate adviser and is former Managing Director of Davy
Corporate Finance Limited. He had been with Davy since 1987 but recently retired
to pursue individual interests and assignments, and currently manages his own
corporate advisory company. Mr. Byrne is not a director of any other publicly
quoted company. Other than the above there is no information which would require
disclosure under paragraphs 6.F.2(b) to 6.F.2(g) of the Listing Rules.

Mr. Soning is Chairman of James Andrew International, a property advisory
service, and for a number of years has been a property advisor to the Red Sea
Group. Mr. Soning is also a director of Your Space plc.

Mr. Soning was formerly an executive director of Guardian Property (Holdings)
Limited when it went into voluntary liquidation in 1974. Other than the above
there is no information which would require disclosure under paragraphs 6.F.2(b)
to 6.F.2(g) of the Listing Rules.

Mr. Pickel is Chief Executive Officer of Red Sea Hotels Limited and has been
since 1994. Mr. Pickel is not a director of any other publicly quoted company.

under paragraphs 6.F.2(b) to 6.F.2(g) of the Listing Rules.
