                          Genosis plc ("the Company")


                             Director Shareholding


The Company was notified on 26 January 2006 that on that day, Ms A.J. Simon, a
director of the Company, exercised options over 2,776 ordinary shares of 10p
each in the Company ("Ordinary Shares") with an exercise price of 10p,
representing 0.04 per cent of the total issued share capital of the Company.
Following this transaction Ms Simon has a beneficial interest in the Company's
issued ordinary share capital of 80,552 Ordinary Shares representing 0.52 per
cent of the Company's total issued ordinary share capital. The new shares rank
pari passu with the existing Ordinary Shares.


Application will be made to the London Stock Exchange for 2,776 Ordinary Shares
to be admitted to trading on AIM pursuant to the exercise of these options.
Admission is expected to occur on 8 February 2006.
