                         POSTING OF CLASS 1 CIRCULAR


Grampian Holdings p.l.c. has today posted its Class 1 Circular to Shareholders
in respect of the proposed disposal of the Edinburgh Woollen Mill Limited (the
"Disposal") announced on 28 June, 2001. The Extraordinary General Meeting to
consider the Disposal will be held at 10.00 a.m. on 25 July, 2001.
