Grampian Holdings plc ("Grampian")

Grampian announces that following the completion of the disposal of The
Edinburgh Woollen Mill Limited, Mr Colin Birrell has resigned as an executive
Director of the Company. Colin will remain on the board of Grampian as a
non-executive Director for a limited period, during which time the company
plans to include proposals to shareholders for the return of cash. This
appointment will terminate not later than 31 January 2002.
