Total Voting Rights and Share Capital

In accordance with the FSA's Disclosure and Transparency Rules, Hardy Underwriting Bermuda Limited ("Hardy") advises the market that as at 1 August 2011 there were 52,819,437 common shares of 20p ("Common Shares") in issue and that Hardy holds 1,677,766 Common Shares in Treasury. Accordingly, as at today's date, the total number of shares with voting rights in Hardy Underwriting Bermuda Limited is 51,141,671. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Hardy Underwriting Bermuda Limited under the FSA's Disclosure and Transparency Rules.

The Hardy Underwriting Employee Benefit Trust ("EBT") owns 1,003,758

Common Shares on which they have waived their right to vote. These shares are included in the above total voting rights figure.
