High-Point Rendel Group plc ("the Company")

Dealings by a Director

Pursuant to the announcement released on 10th January 2001 regarding the
departure of Mr Stephen Greenwood, a director, on 31st March 2001 the Company
was informed yesterday that he exercised options over a total of 326,916 new
ordinary shares in the Company ("Ordinary Shares").  186,916 of these options
were exercised at 53.5p per share and the remainder were exercised at 56.5p
per share.  The Company was also informed that Mr Greenwood yesterday sold
326,916 Ordinary Shares at a price of 115p per share.

Following these transactions Mr Greenwood has an interest in 8,000 Ordinary
Shares representing 0.03 per cent. of the Company's issued ordinary share
capital.
