                         Proposals for reconstruction

Further to the announcement of 21 April 2010, the Board of Invesco English and 
International Trust plc (the "Company") has now conducted a review of the 
options available to the Company which will enable those shareholders wishing 
to exit to do so without prejudicing remaining shareholders. Having considered 
these options, as well as a number of proposals received from third parties, 
and consulted with the Company's major shareholders, the Board announces that 
it expects to put proposals to shareholders (most likely in the form of a s.110 
scheme) which would result in the liquidation of the Company (the "Proposals"). 
The Proposals are intended to provide shareholders with the option to elect for 
a full, structured cash exit and currently are expected to provide the option 
of a rollover into the Invesco Perpetual UK Smaller Companies Growth Fund, an 
open ended fund managed by Andy Crossley, the Company's fund manager, with a 
substantially similar portfolio to that of the Company. 
 
The Company expects to post a circular to shareholders in respect of the 
Proposals in early August, with general meetings being convened early to mid 
September. A further announcement will be made in due course.
