Update on AGM Results

At the Annual General Meeting of the Company held on 26th January 2022, the Company received votes against the resolution to re-appoint Mr. James Robinson (Audit Committee Chairman), which equated to 24.81% of the total votes received by proxy and 1.8% of the total issued share capital of the Company. The Board understands that the votes against this resolution were a reflection of the fact that Mr. Robinson has served as a director for almost 10 years and that the Company's auditor, EY, has been its auditor since 2000.

Further to the RNS released by the Company on 26th January 2022 relating to the AGM results, an update announcement with respect to succession planning will be made in due course. In addition to this, in 2013, the Company undertook a formal tender process following which Ernst & Young were re-appointed as the Auditors of the Company. As per the Audit Regulations and Guidance effective 2017, the Company is required to appoint a new audit firm no later than 2023 and, in that regard, the Board will provide an update on the Company's audit arrangements in due course.
