ISS A/S changes and expands the Executive Management Board


Chief Operating Officer Stuart W. Graham resigns from ISS A/S' Executive
Management Board with effect from May 2002. Effective as per today, ISS A/S
expands the Executive Management Board with Thorbjorn Graarud and Flemming
Schandorff


Chief Operating Officer Stuart W. Graham resigns from ISS A/S' Executive
Management Board with effect from May 2002.


Stuart W. Graham wishes a position with less international travelling involved
and will in June 2002 assume a position as Chief Executive of Johnson Service
Group PLC in the UK. Johnson Service Group PLC is a leading provider of
dry-cleaning services in the UK and is also engaged in textile services in the
UK and Ireland. In 2001, the company had turnover of approximately £ 220 million
(equivalent to approximately DKK 2.6 billion). As a matter of form, ISS wishes
to emphasise that Stuart W. Graham's change of jobs has no bearing upon ISS'
interest for Sophus Berendsen and that no contact, whatsoever, has been made
between ISS and Johnson Service Group PLC.


Stuart W. Graham has worked for ISS in South America, Asia and Europe and most
recently as Chief Operating Officer in Denmark and has contributed greatly to
ISS in his 11 years with the Group. However, ISS fully understands Stuart W.
Grahams desire to reduce his travelling and wishes him good luck with the new
challenge.


Effective as per today, ISS A/S expands the Executive Management Board with
Thorbjorn Graarud and Flemming Schandorff, both Managing Director International
(MDI), responsible for Northern Europe and Continental Europe, respectively.


Thorbjorn Graarud (49) joined ISS Norway in 1985, where he was promoted country
manager in 1989. To a large extent Thorbjorn Graarud shares the responsibility
for the successful development of ISS Norway in the 1990'es. This was also the
reason for his promotion in 2000 to MDI and member of Group Management.
Thorbjorn Graarud continues his operational responsibility for Northern Europe.
In addition, Thorbjorn Graarud will be responsible for the carved out Business
Builds.


Flemming Schandorff (53) joined ISS Denmark in 1973. During the years, he has
been head of ISS Denmark, head of at that time ISS Linnedservice and head of at
that time ISS Securitas. In 1994, Flemming Schandorff left ISS but did, after a
period as Managing Director for Kompan A/S, return to ISS in 2000 as MDI and
member of Group Management. The background for this can be found in Flemming
Schandorffs sound results and deep knowledge of the service industry. Flemming
Schandorff continues his operational responsibility for Continental Europe. In
addition, MDI Jan Vistisen, ISS Overseas, who previously reported to Stuart W.
Graham, will report to Flemming Schandorff.


Following these changes, ISS' Group Executive Management Board consists of:


  • Thorbjorn Graarud (Chief Operating Officer, Northern Europe and Business
    Builds)

  • Carsten N. Knudsen (Chief Financial Officer)

  • Eric S. Rylberg (Chief Executive Officer)

  • Flemming Schandorff (Chief Operating Officer, Rest of the World)
