                         EXTRAORDINARY GENERAL MEETING
                                       
                                       
                                       
At the Extraordinary General Meeting of the Company held earlier today the
Special Resolutions put to the meeting to cancel the 6.3% Cumulative
Preference Shares of #1 each together with consequential and other changes to
the Articles of Association were approved.

A petition in respect of the proposed reduction of capital and cancellation of
the 6.3% Cumulative Preference Shares of #1 each will now be presented to the
High Court and, subject to approval, the expected effective date for the
Capital reduction will be 28 July 1998.

A further announcement will be made in due course.
