The boards of directors of ProVen Health VCT plc and Longbow Growth and Income VCT plc ("Longbow VCT") announce that they have entered discussions regarding a possible merger of the two companies to be effected by means of a scheme of reconstruction and winding up of Longbow VCT. Any merger would be subject to satisfaction of a number of conditions including the approval by shareholders of both companies.

At this stage, there is no certainty that the discussions will lead to a merger. A further announcement will be made in due course.
