     Bernard Matthews PLC ("Bernard Matthews" or the
                       "Company")


The  Board  of  Bernard Matthews notes  the  announcement
today that the Matthews family (the "family") who control
41.7%  of  the  shares  in the Company,  are  considering
making  an  offer  for those shares of  the  Company  not
already owned by the family.

The  Board  is  seeking clarification from  the  Matthews
family  of its intentions. Accordingly, shareholders  are
advised  to take no action. The Board of Bernard Matthews
will   keep  shareholders  informed  of  all  significant
developments.
