Medal Entertainment & Media Plc announces that 133,333 new ordinary shares of
10p each (the "New Ordinary Shares") have been issued and allotted in part
satisfaction of the consideration for the acquisition of Classroom Multimedia
Ltd.



Application has been made for the New Ordinary Shares, which will rank pari
passu with existing ordinary shares in issue, to be admitted to trading on AIM,
and admission is expected to take place at 8 a.m. on 15 April 2005.
