As at the date of this announcement, the Company's issued share capital
comprises the following:



44,684,625 Ordinary Shares of 5p with voting rights.



Manpower Software does not hold any shares in treasury.



Manpower Software does not have any other class of share which has voting
rights.



Consequently Manpower Software's total number of voting rights is 44,684,625 and
this figure may be used by shareholders as the denominator for the calculations
by which they will determine if they are required to notify their interest in,
or a change to their interest in Manpower Software, under the FSA's Disclosure
and Transparency Rules.
