Director Share Options

On 24th May 2005 executive directors were granted awards entitling them to
acquire Ordinary Shares of 10p under the MTL 2005 Long-term Incentive Plan as
summarised below:

William Greenhalgh                 45,528 (0.24%)

Additional grants were made under the Plan to four other senior executives of
the MTL Group. The number of shares covered by these additional awards were
64,242 (0.34%).

The exercise price for the above awards is nil. The awards will normally vest on
24 May 2008 subject to continued employment and the meeting of an earnings per
share performance condition. No consideration was paid for the grant of any of
these awards.
