Directors' Dealings

The Company announces that yesterday it placed 500,000 new ordinary shares at a
price of 50 pence per share with Mr Keith Young, the Company's chairman. Mr
Young's beenficial holding is now 1,305,755 ordinary shares which represents
24.66% of the issued share capital of Netb2b2.

Application will be made for the 500,000 new ordinary shares to be admitted to
AIM and trading is expected to commence on 15 March 2005.

In addition, the Company was notified on 9 March 2005 that Mr Andrew Gannon, a
director of the Company, purchased 10,000 ordinary shares at a price of 49 pence
per ordinary share. Mr Gannon's beneficial shareholding is now 26,250 ordinary
shares which represents 0.50% of the issued share capital of Netb2b2.
