   Octopus VCT 3 plc announces that, as a result of his decision to 
repatriate to Australia, Mr Ray Greenshields has tendered his 
resignation and will stand down as a Director and Chairman of the 
Company on 31 December 2014.   He has been a director of the company 
since its formation in August 2011. 
 
   The Board is pleased to announce that Mr Gregor Michie will be appointed 
as non-executive Chairman with effect from 31 December 2014. Mr Michie 
is an experienced non-executive director. He is chairman of Maven Income 
and Growth VCT 3 plc and was chairman of Octopus Titan VCT 4 plc until 
it was placed into members' voluntary liquidation upon the merger of the 
company with Octopus Titan VCT 2 plc in November 2014.

the Listing Rules of the Financial Services Authority is as follows:
