   Compass Finance is a finance broker and packager of mortgages, secured and   
 unsecured loans and provides other debt advisory services to clients requiring  
debt consolidation and financial solutions. The Company does not lend money to 
  customers but earns its income from commissions and fees received primarily  
                           from third party lenders.                           

         Appointment of Mike Hutchins as Non-Executive Deputy Chairman         

The Board of Compass Finance is pleased to announce the appointment of Mike
Hutchins as Non-Executive Deputy Chairman with effect from 14 March 2006.

Mike retired from the Royal Bank of Scotland Group ("RBS") in April 2004 after
over 40 years service. For the last 10 years, Mike concentrated on retail
banking operations and latterly was Managing Director of Retail Banking for
RBS, being responsible for the entire RBS and NatWest branch network,
comprising 2,300 branches and 23,000 staff.

Since his retirement from RBS, Mike has acted as a management consultant to a
number of companies and organisations, including major high street banks and
financial institutions, and has been working with the executive management at
Compass Finance for the last six months. Mike holds current directorships with
Royal Exchange Theatre Company Limited and Royal Exchange Theatre Catering
Limited and is a partner in The Hutchins Partnership.

Mike has been granted an option to subscribe for 500,000 ordinary shares of
0.5p each ("Ordinary Shares") in the Company at an exercise price of 51.5p per
share. These options have been issued under the terms of the Company's
unapproved share option scheme and can be exercised after the third anniversary
from the date of grant.

Michael John Patrick Hutchins, age 61, has been a director of National
Westminster Life Assurance Limited, RBS Group Insurance Services Limited, RBS
Life Holdings Limited, RBS Life Investments Limited and Royal Scottish
Assurance plc in the last five years and is a current director of Royal
Exchange Theatre Company Limited and Royal Exchange Theatre Catering Limited
and a partner in The Hutchins Partnership. He is also the father-in-law of Mike
Sutcliffe, the Company's Chief Executive Officer, who holds options over
7,975,000 Ordinary Shares in the Company. Other than as disclosed above, Mike
Hutchins does not hold any beneficial or non-beneficial interests in the
Ordinary Shares of the Company.

There are no other matters which are required to be disclosed under paragraph
(g) of Schedule 2 of the AIM Rules.
