Phoenix Group Holdings (the "Company")

Announcement of Relevant Securities in Issue

Phoenix Group Holdings confirms that, as at the close of business on 22 November 2011, the Company had 174,472,815 ordinary shares of EUR0.0001 nominal value each in issue on the main market of the London Stock Exchange, under the UK International Securities Identification Number ('ISIN code') KYG7091M1096.

In addition, as at the close of business on 22 November 2011, the Company had:

(a) 8,169,868 public warrants in issue on the main market of the London Stock Exchange, under the UK International Securities Identification Number ('ISIN code') KYG7091M1179;

(b) a total of 5,000,000 "Lenders' Warrants" in issue pursuant to a warrant instrument dated 2 September 2009 with an exercise price of GBP14.60. The Lenders' Warrants are not listed or admitted to trading on any market; and

(c) a total of 12,360,000 "Royal London Warrants" in issue pursuant to two warrant instruments, each dated 2 September 2009, with an exercise price of EUR10.71. The Royal London Warrants are not listed or admitted to trading on any market.

The City Code on Takeovers and Mergers

By virtue of its status as a Cayman Islands incorporated company, the City Code on Takeovers and Mergers (the City Code) does not apply to Phoenix Group Holdings. Phoenix Group Holdings has incorporated certain provisions into its articles of association (Articles) to reflect certain provisions of the City Code. The provisions do not, however, provide shareholders with the full protections offered by the City Code. Shareholders are reminded that the Panel on Takeovers and Mergers (the Panel) does not have responsibility, in relation to Phoenix Group Holdings, for ensuring compliance with the City Code and is not able to answer any queries in relation to the Company.

Dealing Disclosures

Persons dealing in relevant securities of Phoenix Group Holdings are not obliged to disclose any of their dealings under the provisions of the City Code.

However, market participants are requested to make disclosures of such dealings of relevant securities of Phoenix Group Holdings as if it were in an offer period under the City Code. For these purposes, the 'relevant securities' of the Company include its ordinary shares and warrants.

Public disclosures regarding dealings in securities of the Company should not be e-mailed to the Panel but released directly through a Regulatory Information Service.
