VOTING RIGHTS AND CAPITAL
In  conformity   with  the   Transparency  Directive's   transitional
provision 6 we would like to notify the market of the following:

Phoenix VCT plc's capital consists of 10,801,773 ordinary shares  and
5,228,385 C shares  with a  nominal value  of 10p  each, with  voting
rights. Phoenix  VCT  plc  does  not  hold  any  ordinary  shares  in
Treasury.

Therefore, the total number  of voting rights in  Phoenix VCT plc  is
16,030,158.

The  figure  of  16,030,158  may  be  used  by  shareholders  as  the
denominator for the calculations by which they will determine if they
are required  to notify  their  interest in,  or  a change  to  their
interest  in,  Phoenix  VCT  plc  under  the  FSA's  Disclosure   and
Transparency Rules.
