Directors' Restricted Stock Grants
Planet Payment, Inc. (NASDAQ:PLPM) (LSE: AIM: PPT), a leading
provider of international payment processing and multi-currency
processing services, announces that on 14 June 2012 the Company
granted at nil cost the following Restricted Common Shares of $0.01
par value in the Company ("Restricted Stock "), to the following
Directors of the Company. This is the annual grant made to
directors in accordance with the Company's Compensation Policy for
Non-Employee Directors, pursuant to the Company's 2012 Equity
Incentive Plan

that the Director resigns or is removed for cause before vesting is

(including the outstanding shares of Series A Preferred Stock on an
as converted to common stock basis ("Issued Common Stock")), is as
