Issue of Equity

PeerTV plc (AIM:PTV), a provider of technology solutions for the OTT (TV over the internet) market, and PCB (printed circuit board) production solutions announces that that it has issued 5,000,000 new ordinary shares of 0.5p each in the Company ("Ordinary Shares") in lieu of part repayment of a loan due by the company's subsidiary SM Digitek (1993) at a price of 0.5p per new Ordinary Share and a further 10,000,000 Ordinary Shares at a price of 0.5p each in part repayment of loans due by the company's subsidiary PeerTV Limited ("Loan Shares").

The Company also announces that it has issued 6,950,000 new Ordinary Shares at a price of 0.5p in lieu of part repayment of certain fees and expenses (Fee Shares").

The Company also announces that it has received an exercise notice from an investor to exercise warrants over 50,000 Ordinary Shares at an exercise price of 0.5 pence per Ordinary Share ("Warrant Shares"). Accordingly, the Company will issue 50,000 Ordinary Shares in settlement of this exercise (the "Warrant Exercise"). These warrants were granted on 13 November 2013 as part of a Loan Note Offer by the Company's subsidiary, Digitek SMT Assemblies Limited.

Loan Shares, Fee Shares and Warrant Shares ("New Shares") amount to 22,000,000 new Ordinary Shares in aggregate.

Application has been made for the New Shares to be admitted to trading on AIM and admission is expected to occur at 8:00am on 15 August 2014 ("Admission").

Following Admission, the Company will have in issue 339,387,865 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. Therefore the total number of Ordinary Shares with voting rights in the Company will be 339,387,865. This figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
