Loan Conversion and Issue of Equity

PeerTV plc (AIM:PTV), a provider of technology solutions for the OTT (TV over the internet) market, and PCB (printed circuit board) production solutions announces that it has issued 16,711,181 Ordinary shares at a price of 0.0999 pence per share to YA Global SPV Limited being a further conversion of principle of GBP15,985 and payment of accrued interest under the Convertible Note Facility announced on 10th February 2015.

Under the terms of the Convertible Loan Facility the Conversion is 90% of the lowest Volume Weighted Average Price (VWAP) during the ten consecutive Trading Days immediately prior to the Conversion Date.

In addition, the Company has issued a total of 122,794,914 Ordinary shares at an average price of 0.1173 pence per share as follows:

a) CSS Alpha (BVI) Limited 72,727,727 shares at a price of 0.11 pence each equivalent to GBP80,000 being part repayment of a revolving financing facility the balance on which prior to the issue of these shares is GBP191,438.

b) Ran Zamir 19,422,187 shares at a price of 0.128 pence each equivalent to GBP24,886 being part repayment of a loan advanced in 2014 to Digitek SMT Assemblies Ltd.

c) Shlomo & Ruth Galanti 15,000,000 shares at a price of 0.128 pence each equivalent to GBP19,200 being part repayment of a loan originally advanced to PeerTV Limited in 2010.

d) Demri Group 15,625,000 shares at a price of 0.128 pence each equivalent to GBP20,000 being on account payment for arrears on the group's premises in Petach Tikva, Israel.

Application has been made for the New Shares to be admitted to trading on AIM and admission is expected to occur at 8:00am on 24 July 2015 ("Admission").

Following Admission, the Company will have in issue 609,474,230 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. Therefore the total number of Ordinary Shares with voting rights in the Company will be 609,474,230. This figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
