Replacement: Issue of Equity

The following amendment has been made to the 'Issue of Equity' announcement released on 29(th) October 2015 at 10.03am under RNS No 8434D.

Details of the change: Admission of new shares is expected to occur at 8:00am on 4(th) November 2015 as opposed to the 3(rd) of November as specified previously.

All other details remain unchanged.

PeerTV plc (AIM:PTV), a provider of technology solutions for the OTT (TV over the internet) market, and PCB (printed circuit board) production solutions announces that it has issued 492,610,837 Ordinary shares at a price of 0.0215 pence per share to YA Global SPV Limited ("YAG") being a further net drawdown of GBP105,874 under the Standby Equity Distribution Agreement announced on 30(th) July 2014.

The Advance Notice in respect of this drawdown was announced on 20(th) October 2015. In view of the increased share price of the Company YAG agreed to increase the amount from GBP89,000 and to cut short the pricing period.

Application has been made for the New Shares to be admitted to trading on AIM and admission is expected to occur at 8:00am on 4(th) November 2015 ("Admission").

Following Admission, the Company will have in issue 2,871,961,878 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. Therefore the total number of Ordinary Shares with voting rights in the Company will be 2,871,961,878. This figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company. These figures ignore the possible effect on the number of shares in issue if shareholders approve the proposed share consolidation on 02 November 2015.
