Loan Conversion & Equity Issue

PeerTV plc (AIM:PTV), a provider of technology solutions for the OTT (TV over the internet) market, and PCB (printed circuit board) production solutions announces that it has issued 428,709 Ordinary shares at a price of 13.8 pence per share to YA Global SPV Limited being a further conversion of principle of GBP58,968 and payment of accrued interest of GBP193.87 under the Convertible Note Facility announced on 10(th) February 2015.

Under the terms of the Convertible Loan Facility the Conversion price is 90% of the lowest Volume Weighted Average Price (VWAP) during the ten consecutive Trading Days immediately prior to the Conversion Date.

In addition the Company has issued new Ordinary Shares as follows:

a) 227,273 Ordinary shares at a price of 22.0 pence per share to CSS Alpha (BVI) Limited equivalent to GBP50,000 being part repayment of a revolving financing facility the balance on which prior to the issue of these shares is GBP99,996.

b) 45,455 Ordinary shares at a price of 22.0 pence per share to Cedric Littman being part repayment of a loan advanced in 2012 to PeerTV plc.

Application has been made for the New Shares, which total 701,437 be admitted to trading on AIM and admission is expected to occur at 8:00am on 10(th) November 2015 ("Admission").

Following Admission, the Company will have in issue 3,573,400 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. Therefore the total number of Ordinary Shares with voting rights in the Company will be 3,573, 400. This figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
