Notes

i)   The interim financial information for the six months ended 30th September
2001 includes only the results of  Riceman Insurance Investments plc. The
unaudited results for the period have been prepared on the basis of the
accounting policies adopted in the audited accounts for the fourteen month
period ended 31st March 2001.

ii)  No comparative figures are included in the attached interim financial
information, as the interim results for the six months ended 31st July 2000,
and the results for the six months ended 31st January 2001 which were included
in the Company's second interim announcement, incorporated the results of the
Company's sole operating subsidiary which was disposed of in March 2001, and
the Directors consider that any comparison would be meaningless.

iii) The Interim Report is unaudited and does not constitute Statutory
Accounts.

iv)  No dividend is proposed to be paid in respect of the period.

v)  The calculation of earnings per share is based on the loss after taxation
for the period of #31,056 and on 65,938,530 ordinary shares, being the average
number of ordinary shares in issue during the period.
