                   TRANSACTIONS INVOLVING DIRECTORS
        ANNUAL AWARD UNDER THE ROTORK PROFIT-LINKED SHARE SCHEME

The under-noted ordinary shares were today allocated to the under-noted
directors in accordance with the rules of the Inland Revenue approved Rotork
Profit-Linked Share Scheme in respect of the profits for the year ended 31
December 1997. Each such ordinary share has a locked-in value of #3.499

1.     William Henry Whiteley : 1735 ordinary shares of 5p each

2.     David Treharne Smith   : 1305 ordinary shares of 5p each

3.     George Edward Malcolm  :  919 ordinary shares of 5p each

Each of the above director's beneficial holding of such shares has been
increased accordingly.
