                  AUTHORITY TO REPURCHASE PREFERENCE SHARES                  


The Board of Rotork p.l.c has decided to submit to shareholders a proposal for
the company to be authorised to purchase its non-equity preference shares.
Such proposal will take the form of a general authorisation to make market
purchases and will complement the annual authorities which have been sought in
respect of market purchases of the company's equity ordinary shares.

The proposal is included in the notice of the Annual General Meeting and in a 
notice of a separate general class meeting of the holders of preference shares
which are  being despatched to shareholders tomorrow. Once again, a renewal of
the authority previously granted in respect of equity ordinary shares will be
sought.
