    Termination of Offer Period

    As noted at the recent AGM of the Company, after discussions with a number of interested parties, the Board of Stonemartin is now in
negotiations with one party for the sale of its main trading subsidiary, Stonemartin Corporate Centres Limited and hopes to conclude an
agreement, subject to shareholder approval, before the end of the year. If the proposed transaction is successfully completed, the Board
will take immediate steps to return cash to shareholders as soon as possible.  Shareholders should note, however, that there can be no
guarantee that a sale of the trading subsidiary will be concluded or that there will be any return of cash to shareholders in the near
future. 

    Having entered into negotiations with a single party for the sale of the Company's main trading subsidiary, the Company is no longer in
talks with any party regarding an offer for Stonemartin plc and is therefore no longer in an offer period.
