SOUTH STAFFORDSHIRE WATER HOLDINGS PLC

It is announced that today, at the Company's AGM, shareholders have given
their approval to the proposals announced by the Company on 25 May 1999, to
change the Company's name to South Staffordshire Group Plc and to split the
Company's ordinary shares on a 10 for 1 basis.

The name change will be made effective today.  The timetable for the share
split is confirmed as follows:

1 July 1999    Final dividend payable on existing ordinary shares of #1 each  
                 
2 July 1999    Last dealing day for existing ordinary shares of #1 each

5 July 1999    First dealing day for new ordinary shares of 10p each

9 July 1999    Despatch of new share certificates
