                      Posting of Circular and Prospectus                       

Further to the announcement made on 13 October 2008 of the recommended
proposals by the Company for a merger by way of a scheme of arrangement with
SPARK VCT 3 plc (the "Merger), the Company announces that it has today posted a
circular dated 13 October 2008 (the "Circular") and a prospectus dated 13
October 2008 (the "Prospectus") to shareholders of the Company.

The Circular sets out details of the full terms and conditions of the Merger
and includes a notice convening a general meeting of the Company on 12 November
2008 at 11.30 a.m.

The Prospectus has been issued by the Company in relation to the issue of up to
40,000,000 new Shares in the Company in connection with the Merger and includes
information on the Company and the Company as enlarged after implementation of
the Merger.
