   Results of Adjourned Annual General Meeting 
 
   Change in Board Composition 
 
   The Board of Toledo Mining Corporation plc (the "Board") announces that 
at the adjourned Annual General Meeting (the "Meeting") held on 15 
October 2013, Resolutions 1 to 3 were passed and Resolutions 4 to 6 were 
not passed. 
 
   The resignation of Mr Jason Cheng as director of the Company was 
received and announced at the Meeting.  Mr Simon Purkiss and Mr Robert 
Jenkins have stood down from the Board after resolutions for their 
re-election as directors were not supported by the Company's major 
shareholder, DMCI Mining Corporation ("DMCI"). 
 
   During the Meeting, the Directors of Toledo presented the attending 
shareholders with the Company's latest corporate presentation, a copy of 
which is available on the Company's website as detailed below. 
 
   The remaining members of the Board are holding discussions with DMCI 
over the future composition of the Board and the Company expects to make 
a further announcement in due course.
