Touchstone Group plc (the "Company")

Director Shareholding

The Company received notification on 2 February 2007 that on that day the TCL
Settlement Trust 1998 a trust of which Mr Keith Birch, Chief Executive Officer
of the Company, is a trustee sold 83,750 ordinary shares of 10 pence each in the
Company at a price of 180p per share.

Mr Keith Birch's resultant holding is 2,846,797 ordinary shares representing
23.69 per cent of the current issued ordinary share capital of that class.
