VICTORIA P.L.C. ("the Company")

The Company was notified today that the Trustees of the Victoria Carpets Profit
Sharing Scheme ("the Scheme") on Thursday, 31 October 2002, sold 1,462 ordinary
shares of 25p each in the Company at 140p per share, representing approximately
0.02% of the Company's issued ordinary shares. The Scheme is an Inland Revenue
approved profit share scheme.

Following the sale, the Trustees hold on behalf of the Scheme, 341,840 ordinary
shares of 25p each in the Company, representing approximately 4.92 per cent of
the Company's issued ordinary shares.

As trustees of the Scheme, the following Directors' non-beneficial shareholdings
have each been reduced by 1,462 ordinary shares and are now as follows:
