Victoria P.L.C. - Director's Shareholding

The Company announces that following their appointment as Trustees of
the Victoria P.L.C. Employee Benefit Scheme, Mr R M Gilbert, Mr A R
Bullock and Mr J A Duncan each now have a non beneficial interest in
525,000 Ordinary shares representing 7.7 per cent of the issued share
capital of Victoria P.L.C.  Their beneficial share holding remains
unchanged.
